Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Retrofit.ai platform (the “Service”) operated by Retrofit.ai (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. The Service
Retrofit.ai provides software tools that allow heating, ventilation, and air-conditioning (HVAC) contractors (“Contractors”) to send a guided pre-inspection link to homeowners (“Homeowners”). Homeowners submit photos, equipment specs, and home details. The Service generates a structured assessment, including a preliminary heat-load estimate, a complexity rating, and rebate-eligibility flags.
The Service is currently provided in a beta form, free of charge for early-access pilots. Features, pricing, and availability may change without notice during the beta.
2. Accounts
To create a Contractor account you must provide accurate registration information and keep it current. You are responsible for safeguarding your password and for any activity under your account. You must notify us promptly if you suspect unauthorised access.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation, including local building, electrical, or fuel-utility codes.
- Upload content for which you do not have appropriate rights or consent, including photos taken of homes you do not own or have permission to inspect.
- Attempt to interfere with the Service, probe its security, or scrape data beyond what is exposed to your account.
- Resell, sublicence, or otherwise distribute the Service to third parties without our written permission.
4. Content and ownership
You retain ownership of the content you upload (photos, videos, notes, customer details). You grant Retrofit.ai a worldwide, non-exclusive, royalty-free licence to host, store, transmit, and display that content solely to operate and improve the Service for your account.
We do not sell your content or share it with third parties for their own marketing.
5. Heat-load estimates & assessment reports
Estimates produced by the Service — including BTU/h ranges, equipment ton ranges, complexity ratings, confidence scores, and rebate-eligibility flags — are preliminary, informational pre-screens only. They are not a certified Manual J calculation, professional engineering opinion, or guarantee of rebate approval.
Contractors must independently verify all assumptions on site before quoting, sizing, or installing equipment. Retrofit.ai is not liable for installation, sizing, code-compliance, or rebate-application decisions made on the basis of an estimate.
6. Service availability
We strive for high availability but the Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time, particularly during the beta.
7. Limitation of liability
To the maximum extent permitted by law, Retrofit.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our aggregate liability for all claims relating to the Service shall not exceed the greater of (a) the amount you paid Retrofit.ai in the twelve months prior to the claim, or (b) one hundred Canadian dollars.
8. Termination
You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms. On termination we will, on request, provide an export of your data within a reasonable period.
9. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Disputes will be resolved in the courts of Toronto, Ontario.
